Many small business owners forget that there are certain requirements they have to meet when setting up corporation. One of such requirement is to held regular meeting of shareholders and directors. All important matters are decided on such meetings and the written document from such meeting is called company minutes.

Keeping the records and minutes is very important. For example IRS will require to see them. I can tell, because I just got audited and IRS wanted to see minutes for all director and shareholder meetings from the date I started the company. It doesn't matter if you are just one person company. You still have to do the meetings.
